Terms of Service
Article 1. Purpose
These Terms govern the conditions and procedures for using the website and client portal services operated by 듀오랩스 (the "Company"), as well as the rights, obligations, and responsibilities between the Company and users.
Article 2. Definitions
- "Service" means all services provided by the Company through its website (duolabs.co.kr) and client portal (web and mobile app).
- "User" means anyone who uses the Service in accordance with these Terms.
- "Client (member)" means a user who has entered into a development contract with the Company and uses the client portal by logging in with an account issued by the Company.
- "Content" means all information published or provided within the Service, including project status, deliverables, documents, reports, and messages.
Article 3. Effect and Amendment of Terms
- These Terms take effect when posted on the Service or otherwise notified to users.
- The Company may amend these Terms within the scope permitted by law for reasonable cause, announcing the effective date and reason at least 7 days in advance, or at least 30 days in advance for changes unfavorable to users.
- If a user does not agree to the amended Terms, the user may stop using the Service and terminate the agreement.
Article 4. Service Content
The Company provides the following services.
- Company and solution information and inquiry intake via the website
- Viewing project status, schedules, deliverables, documents, and maintenance reports via the client portal
- Messaging with the person in charge and notifications (including push notifications)
- Other services the Company may offer
Article 5. Formation of Agreement and Accounts
- The website's information and inquiry features may be used without any membership registration.
- The client portal is available only to clients who have entered into a development contract with the Company, using an account issued by the Company.
- Clients are responsible for managing their own account credentials (email/password) and may not transfer or lend them to third parties.
- If a client becomes aware of unauthorized use of an account, the client must notify the Company immediately; the Company is not liable for damages arising from delayed notice.
Article 6. User Obligations
Users must not engage in any of the following.
- Misappropriating another person's identity, account, or information
- Infringing the copyright or other intellectual property rights of the Company or third parties
- Interfering with the normal operation of the Service
- Disclosing or distributing information learned through the Service without the Company's consent
- Transmitting obscene, violent, or otherwise indecent content
- Any other act that violates applicable law or these Terms
Article 7. Suspension of Service
The Company may temporarily suspend the Service in the following cases, giving notice in advance where possible and afterward where unavoidable.
- Maintenance, inspection, replacement, or failure of service equipment
- Force majeure such as natural disaster or national emergency
- Unavoidable reasons such as suspension of telecommunication carrier service
Article 8. Termination and Restriction of Accounts
- A client may terminate the agreement (delete the account) at any time via [Settings > Delete account] in the client portal or by request to the Company.
- Upon account deletion, related data is destroyed in accordance with the Privacy Policy and applicable law. Information that must be retained by law is kept for the required period.
- The Company may restrict use or terminate the agreement after prior notice (or afterward in urgent cases) if a user violates these Terms or applicable law.
Article 9. Protection of Personal Data
The Company collects and uses users' personal data to provide the Service; related matters are governed by the separate Privacy Policy.
Article 10. Intellectual Property
- Copyright and intellectual property rights in Content created by the Company, including text, images, logos, and designs, belong to the Company.
- Ownership of deliverables provided by the Company to a client under a development contract is determined by the individual contract between the Company and the client.
- Users may not reproduce, distribute, transmit, or create derivative works from the Service or Content without the Company's express consent.
Article 11. Disclaimer
- The Company is exempt from liability where it cannot provide the Service due to force majeure or equivalent causes.
- The Company is not liable for service disruptions caused by the user's own fault.
- The Company is not responsible for the truthfulness or accuracy of information posted or entered by users.
Article 12. Governing Law and Jurisdiction
- These Terms and any dispute between the Company and a user are governed by the laws of the Republic of Korea.
- Any litigation arising from use of the Service shall be subject to the exclusive jurisdiction of the Suwon District Court, which has jurisdiction over the Company's location.
